Exclusive data license term length: term vs perpetual licenses

An exclusive data license runs for a term the company and buyer agree in the contract, and the company keeps ownership throughout. There is no standard length. Term licenses end or renew as written, while perpetual ones have no end date, so owners should weigh flexibility and confirm every clause with counsel.

How long does an exclusive data license last?

An exclusive AI-training license runs for a term the company and the buyer agree in the contract, and the company keeps ownership of the data throughout. There is no standard length, and this page states none, because term is negotiated deal by deal.

Exclusive means that during the term the company agrees not to license the same data to others for the covered purpose, typically AI training. It does not transfer ownership. When the term ends, the exclusivity ends, and what happens next depends on what the contract says about continued use, deletion and renewal. This is general information, not legal, tax or financial advice. Your own counsel must review any agreement.

Term license versus perpetual license

DurationFixed period set in the contractNo end date unless terminated for cause
ExclusivityCan apply for the term onlyCan be exclusive indefinitely, which is the heaviest commitment
OwnershipStays with the companyStill stays with the company, though the practical effect on future use can be large
What happens at the endRights revert or the contract renews as writtenNothing ends automatically
Owner's flexibilityHigher: data can be licensed again after the termLower: later options may be limited
Questions to ask counselWhat survives the term, such as copies in trained models? Can it be revoked, and for what causes?

Copyright law lets an owner license some rights and keep others. 17 U.S.C. 201 provides that copyright ownership may be transferred in whole or in part and that any exclusive right may be transferred and owned separately, which is why the scope of the licensed rights is spelled out in the agreement and not assumed.

What goes in the term clause

A well-drafted term clause answers more than a number of years.

  1. Start date. Is it signing, delivery or acceptance?
  2. Length and renewal. Is it fixed, or does it renew automatically unless someone gives notice?
  3. Scope of exclusivity. Which purposes and which datasets are exclusive, and is anything carved out?
  4. Territory and field. Does exclusivity cover all AI training or a defined field only?
  5. Termination. What breaches allow the company to end the license early?
  6. After the term. Must the buyer delete the delivered copies, and what about models already trained?
  7. Reversion. Do all rights return to the company in writing?

What a long-term owner should weigh

An owner who plans to keep the business for decades should think about options as much as price. A long exclusive term can block a second license that a later technology or buyer would pay for. A shorter term preserves flexibility but may carry a different price. SourceX does not set a rule here. The company agrees price and terms before anything goes to buyers.

Consider these points before accepting a term.

  • Your holding period. Does the term outlast the time you expect to own the company?
  • A future sale. A buyer will inherit the obligation. The guide on selling to a holding company shows how that affects a deal.
  • New data. Does exclusivity cover only the delivered snapshot or also future records?
  • Entity changes. If entities are merged later, the license follows the surviving entity, so the legal entity map matters.
  • Retention. The company must keep the delivered snapshot's source records for its own needs, as discussed in the guide on retention after an acquisition.
  • Minority holders. Consent rights may apply, as covered in family office co-investment.

Questions to bring to counsel

  • Can the exclusivity be narrowed to specific datasets or uses?
  • What happens at the end of the term to copies and trained models?
  • Does the clause bind successors if the company is sold?
  • Is renewal automatic, and who can stop it?
  • Which law governs, and how are disputes handled?

What this means for referral partners

Partners never negotiate or advise on terms. Describe the structure accurately: licensed, not sold; exclusive for an agreed term; the company approves price and terms. Partners earn 25% of the eligible platform fees SourceX actually collects, capped at $100,000 per referred company, payable only after the buyer pays and SourceX receives its fee. No reward is guaranteed, and it is never deducted from what the company receives.

When exclusivity is a reason to stop

If the owner will not consider an exclusive license at all, the company is a poor fit for this program. Also pause if existing contracts already license the data for AI training.

Next step

Owners can screen with the company fit checker and read who qualifies. Advisors and others who know such an owner can register as a partner, and the company can apply at sourcex.si/apply. Confirm every term with your own counsel before signing. For hold-period context, see value creation in longer holds.

Common questions

Is an exclusive license the same as selling the data?

No. The company keeps ownership and licenses the right to use the data for an agreed purpose and term. Exclusivity only limits whom else the company can license the same data to for that purpose. A sale would transfer ownership, which a SourceX license does not.

Can the term be renewed or extended?

That depends on the contract. Some agreements renew automatically unless notice is given, others require a new signed agreement. Ask counsel to confirm who can trigger renewal, whether the price changes and how an owner can opt out, so there is no surprise at the end of the term.

What happens to the data when the term ends?

The contract should say whether the buyer must delete delivered copies, how trained models are handled and when exclusivity ends. These terms vary, and counsel should review them. The company's original records stay with the company throughout.

Does a longer term mean a higher price?

Not automatically, and this page states no prices or typical durations. Price and term are negotiated for each deal. The company agrees one all-in price with SourceX before buyers review, and nothing is binding until the company signs.

Can I license the same data non-exclusively to several buyers?

That is a different structure from the typical exclusive AI-training license. Whether it is available depends on the buyers and the agreed terms. Raise it with SourceX during qualification and with your counsel, since it changes both price expectations and what you commit to.
