Work through these steps while an administrator can still sign in. They are generic; confirm each against Microsoft's current documentation and the tenant's own settings.
- Confirm the dates. Find out who bills the subscription (Microsoft, a reseller or the MSP) and get the expiry date and any grace terms in writing.
- Keep one admin account alive. A global administrator account, with its multi-factor method, should sit with someone who stays through the wind-down, not on a departing employee's phone.
- Preserve before you prune. Apply a retention policy or hold before removing licenses or deleting departed users; deleting a user can take the mailbox and OneDrive with it.
- Export mail. Use Microsoft Purview eDiscovery or a backup tool to export user and shared mailboxes, then compare item counts with the source.
- Capture files with their history. A sync client copies current versions only; use a backup or migration tool where version history matters.
- Capture Teams conversations. Chats and channel posts are not ordinary files, so they need an eDiscovery export or a backup product that supports them.

Rights and privacy checks specific to a tenant
Documents employees create within the scope of their jobs are generally works made for hire owned by the company, as the US Copyright Office's circular on works made for hire explains. Material from outside contractors may not be, unless rights were assigned in writing. That matters for OneDrive and SharePoint content written by freelancers or agencies.
Mailboxes also hold material that should never be licensed: personal email, HR cases, medical notes, and client documents the company held under confidentiality terms. What gets masked or removed is settled with the company before anyone touches the data.
Meeting recordings and transcripts need their own check. Under federal law, recording a conversation is generally lawful when one participant consents (18 U.S.C. 2511). California is stricter: recording a confidential communication without every party's consent is prohibited (California Penal Code 632), and other states set their own rules.
