Independent sponsor quarterly report to capital partners: a template

An independent sponsor's quarterly report to capital partners should cover results versus budget, covenant and liquidity status, value creation progress, risks, governance items and consent requests. A separate upside line can note a SourceX data licensing screen, with no forecast and no agreement until capital partners and the board consent.

What goes in an independent sponsor's quarterly report to capital partners?

A quarterly package should let a capital partner see, in one sitting, how the business performed, whether it is within its debt terms, what the value creation plan delivered, and which decisions need their consent. This template gives the section order and wording, including an optional line for a data licensing screen that is reported as an upside item and not a forecast.

The capital providers guide explains what partners expect to read. Use this page to build the document itself.

Which template text should you use?

Copy the paragraphs below and replace the {placeholders}. Each one is a single paragraph so it pastes cleanly.

How do you personalize the template?

AdjustmentDo this
Different capital partner types (family office, institutional, individual)Keep the same sections; shift detail. Family offices often want narrative, institutional partners want covenant tables. See the family office portfolio reporting checklist for what the other side tracks
Several portfolio companiesOne package per company plus a one-page roll-up
Operating agreement has reporting datesMatch them exactly and cite the clause in the cover note
Credit agreement reportingAlign covenant tables with the compliance certificate

If you also attend operating-partner events, the conferences and networks list is a place to compare reporting practices with peers. Keep the document itself plain and consistent from one quarter to the next.

When should you send it and follow up?

TimingAction
Day 1-10 after quarter endClose books, draft financials
Day 15-20Draft the package, check covenants
Day 25-30Send, ahead of the call
Within 3 business daysConfirm receipt, log questions
Within 10 business daysAnswer open questions in writing

Adjust to your agreement. If the operating agreement sets dates, those win.

How should you handle a data licensing line responsibly?

Treat it as a screening note until the capital partners agree to more. The decision sequence:

  1. Run the who qualifies baseline: 50+ full-time employees at peak (contractors excluded), several years of documented operations, rights to license, authorized sponsor.
  2. Use the delegation of authority matrix to confirm who can sign.
  3. Report the screen as an upside item with no dollar figure.
  4. Ask for consent before any agreement.
  5. Introduce the company to SourceX only after consent where your documents require it.

What must never go in the report?

  • Confidential company records or descriptions of their contents.
  • A forecast of license proceeds or an estimate of your reward.
  • Any promise of payment: no reward is guaranteed.
  • Names of AI developers or buyers as expected counterparties.
  • Reward percentages or caps typed out; refer to the published terms instead.

Next step

Add the upside-items section to your next package, then register as a partner if a portfolio company passes the screen. The network opportunity finder helps map candidates, and the operating partners page shows how sponsors with larger portfolios organize screening. The partner earns 25% of the eligible platform fees SourceX collects from the referred company's licensing deals, up to $100,000 per referred company, paid only after the buyer pays and SourceX receives its fee.

  1. Step 1Share your linkSend your personal link to a company you know.
  2. Step 2Company appliesThe company applies itself at /apply.
  3. Step 3Buyer selects and paysThe buyer selects and pays for the data and SourceX receives its fee.
  4. Step 4You get your rewardYour share of SourceX fees becomes payable.

Common questions

How long should an independent sponsor's quarterly report be?

Most partners want a package they can read in one sitting: a cover note, financial and covenant pages, a value creation page and a short list of risks and decisions, with detail in an appendix. Keep the length steady. Consistency from quarter to quarter matters more than length.

Do capital partners need to approve a data license?

Usually the operating or shareholder agreement decides, and a license of company records that is exclusive for an agreed term is the kind of decision many agreements reserve for partner or board consent. Read your documents, and ask counsel if unclear. Obtain written approval before signing anything.

Should I forecast data licensing proceeds in the report?

No. Whether a deal happens, its price and its timing are uncertain, and nothing is binding until the company agrees price and terms and signs. Report the screen as an upside item with no figure, and update it only when a signed agreement exists.

Can I earn a reward for introducing my own portfolio company?

That depends on your agreements and conflicts. Disclose the possibility to capital partners, check your operating agreement and any fiduciary or fee-sharing terms, and get counsel to confirm before registering. The published program terms govern any reward, and no reward is guaranteed.

What should I send partners between quarterly reports?

Send short event notes for covenant risk, key hires and departures, large customer changes and any consent request. Keep the quarterly package as the full record. Prompt written notice builds trust faster than polished slides, and it creates a dated trail of what partners were told.
