Can you revive a dissolved corporation to sell or license its assets?

Often yes, but the route depends on how the company ended. A charter voided for unpaid taxes or missed filings can usually be revived or reinstated; a voluntary dissolution may be revoked within the winding-up period; after that, a court-appointed trustee may be needed. Settle that authority before signing any asset sale or SourceX data license.

The short answer: match the fix to how the company ended

Owners of a closed company who find something worth selling or licensing, such as years of archived operational records, usually hit one question first: who has authority to sign? The answer depends on how the company stopped.

  • The state voided or administratively dissolved it, typically for unpaid franchise taxes, a missed annual report or a lapsed registered agent. Revival or reinstatement is usually available.
  • The owners dissolved it voluntarily. The company still exists for winding up for a period set by state law, and may be able to revoke the dissolution within that time.
  • The winding-up period has run, or nobody can act. A court-appointed trustee or receiver may be the cleaner route.

Settle the route before signing anything. An agreement signed for a company with no authority to act can be challenged, and nobody wants to discover that after a buyer has selected the data.

Delaware's revival statute provides that a revived corporation is restored with its property and rights and that, in general, acts done in its name while the charter was void are validated as if the charter had stayed in force. This paraphrase is not linked to a verified copy of the statute here, so read the current section, and its exceptions, in Title 8 of the Delaware Code before relying on it. Other states' reinstatement statutes differ on relation back and on deadlines, so check the law of the state of incorporation, not the state where the company operated.

Steps for an owner who has found an archive worth licensing

  1. Get the status. Order a status or good-standing certificate from the Secretary of State in the state of incorporation.
  2. Find the paperwork. Locate the certificate of dissolution or the void notice, final tax returns and any record of assets distributed to stockholders.
  3. Locate the records. Identify where they sit: a server in storage, a cloud account billed to a personal card, a former MSP's backups. Do not move, copy or share content.
  4. Check the rights. Confirm the company created the records and that client contracts and privacy policies allow licensing.
  5. Choose the route with counsel. Revival, reinstatement, revocation, winding-up authority or a court appointment, using the table above.
  6. Authorize the signer. A board resolution, or the court's order, naming who signs the license.

Why an old archive can justify the paperwork

Public text is becoming a constraint for AI developers. Business records of real work, such as tickets, project histories, engineering activity and decisions with outcomes, are scarce on the web, and AI labs and data buyers license them for training and evaluation.

A closed company can still qualify. Operating, acquired and wound-down companies are all eligible if the data still exists, and long histories and archived systems help. The bar for a closed company is the same as for an operating one: a US business that had 50+ full-time employees at peak (contractors excluded), several years of documented operations, rights to license its records and someone with authority to sponsor the deal. Illustrative, fictional scenario. The former founder of a 95-person logistics software company finds its ticketing database and code archive on a backup drive four years after a voluntary Delaware dissolution. The three-year period has run and nothing is pending, so counsel applies for a court appointment under section 279 rather than relying on the old board. Privacy and client rights survive revival

Revival restores the company; it does not wipe its obligations. Watch for the other red flags too:

  • The archive mainly holds clients' data rather than the company's own records.
  • The records are mostly consumer personal data with no licensing basis.
  • A bankruptcy trustee, assignee or receiver already controls the assets; if the company went through bankruptcy, see whether a former owner can buy assets from a bankruptcy trustee.
  • The data was already licensed for AI training.
  • Nobody can export the data from the old systems.

Questions to ask counsel

  • Was the company voided, administratively dissolved or voluntarily dissolved, and on what date?
  • Does revival or reinstatement validate acts during the gap, and do any exceptions matter here?
  • Were assets distributed to stockholders, and did the records go with them?
  • Does the board need to be reconstituted before it can authorize a signer?
  • Could revival or a license bring back creditor claims that need to be provided for?

Common questions

How long does a Delaware revival take?

The filing itself can move once franchise taxes, annual reports and the registered agent are brought current, and the Division of Corporations can confirm its current processing options. The slower part is usually reconstructing the paperwork, finding former directors and agreeing who will sign. Start those tasks alongside the data inventory so that authority is in place before terms are agreed.

Does a revived company become liable for its old debts again?

Generally the company's obligations come back with it, because revival restores the corporation itself. Creditors who were owed money before the charter lapsed may still pursue claims, subject to limitation periods and any earlier discharge. Ask counsel how known creditors should be handled before license proceeds arrive, so that the payment does not start a new dispute.

Do I need to revive the company if the records were distributed to me?

Possibly not. If the company formally distributed its remaining assets, including the records, to stockholders, a stockholder may hold them personally and could sign in that capacity. That depends on how the distribution was documented and on the rights in the records, so have counsel review the dissolution papers before anyone signs in a personal capacity.

Can an LLC be revived or reinstated the same way?

Most states have a parallel procedure in their LLC statute, but the steps, deadlines and effects differ from the corporate rules. Check the LLC act of the state of formation and the operating agreement, which may name who can act during winding up or reinstatement, before assuming the corporate route applies.
