Check first
- Buyers usually treat one-time licensing income as non-recurring when they value a business, so present it as separate cash rather than a boost to earnings.
- If the business has signed a letter of intent or purchase agreement, check its no-shop and interim operating covenants before it signs a license.
- An exclusive data license can limit what a buyer can later do with the same data. A non-exclusive license leaves the company free to license it again.
- Brokers and advisors are licensed in some states and roles. Check your own rules on referral fees and disclosure.

Questions
Does licensing data reduce what a buyer will pay?
It can, depending on the terms. Buyers will review the license, and non-exclusive licenses with clear permitted use are the easiest to explain in diligence.
Can a data deal close before the business is sold?
It can, if the owner wants it to and any sale agreement allows it. Timing is the owner’s decision.
