Overlooked intangible assets in chapter 7: what trustees should look for

Intangibles that chapter 7 schedules commonly miss include domain names, social and phone identities, customer contracts, software and code, and years of email, CRM, support-ticket and document archives. Why business schedules undercount intangibles

Schedules for an operating company are usually prepared by a CFO or controller under pressure, working from the balance sheet. Hardware, vehicles, receivables and bank accounts appear because they carry book value. Hosted email, a CRM with ten years of deal history, a ticketing system or a code repository rarely appear as line items, because nobody ever booked them as assets.

You already ask what the debtor held on the petition date. The problem is practical, not doctrinal: the evidence of these assets sits in cloud accounts that bill monthly, under logins held by people who have left. If nobody pays the next invoice, some of that history can disappear before the meeting of creditors is even held.

That makes the first weeks of the case the moment that matters. A short, targeted request to the debtor's principals can surface assets worth administering, and one of them, the company's operational records, may be licensable to AI labs and data buyers who need records of real work to train and evaluate AI agents.

Which intangibles do schedules miss?

Use this list against Schedule A/B and the statement of financial affairs. Payments to software vendors are often the quickest map of what exists.

What to ask the debtor's principals at the 341 meeting

Keep the questions concrete and ask for documents afterwards.

  1. Which systems did the company use for email, chat, CRM, support, finance, engineering and documents, and since when?
  2. Who holds the super-admin login for each, and is that person still reachable?
  3. Through what date is each account paid, and on which card or bank account?
  4. Were any systems retired, and were their records exported or deleted?
  5. Who wrote the software: employees, contractors or an outsourcer, and under what agreements?
  6. Do customer contracts restrict how the company may use records it created while serving them?
  7. Has the company ever licensed its data to anyone for AI training?
  8. What was the peak number of full-time employees, excluding contractors?

Personal data: where the Bankruptcy Code draws a line

Under section 363(b)(1), if the debtor's privacy policy in effect when the case began prohibited transferring personally identifiable information to unaffiliated persons, the trustee may not sell or lease that information unless the sale fits the policy or the court approves it. Court approval requires, among other conditions, a consumer privacy ombudsman appointed by the US trustee, notice and a hearing. Whether a given license counts as a sale or lease is a question for your counsel.

The scrutiny is real. In 23andMe's 2025 bankruptcy, the appointed ombudsman recommended that customers' genetic or personally identifiable data not be transferred without renewed opt-in consent.

Internal business records are a different category from consumer databases, but email, tickets and CRM notes still contain names and contact details. When the records drawer is not worth opening

  • The company was below 50 full-time employees at peak, so the records are unlikely to qualify.
  • Laptops were wiped and cloud accounts closed before filing, with no export.
  • The archives are mainly consumer personal data or medical records.
  • The records belong to the debtor's clients, as at many agencies and outsourcers.
  • The same data was already licensed for AI training.

Common questions

What if the debtor's principals already cancelled the cloud subscriptions?

Act the same day. Ask each vendor in writing whether the account can be restored and whether data is still held after cancellation, since retention after cancellation varies by vendor and plan. Have the principals forward any cancellation confirmations and export links they received. Even a partial archive, such as a CRM export or a help desk backup, can still be worth inventorying.

Is it worth administering a case just for the record archives?

Sometimes, but test it first. Run the company fit checker, confirm peak headcount, years of history and rights, and ask SourceX whether the records look licensable before committing estate money to keep systems alive. A license is a one-time payment for an agreed scope, nothing is binding until the trustee signs, and there is no certainty that buyers will select the data.

Can the estate license records instead of selling them outright?

Yes, a license grants defined use rights while ownership stays with the estate, and SourceX deals are typically exclusive for AI training for an agreed term. The estate can still sell the underlying assets, provided bidders are told about the license and the sale contract respects it. Counsel should review how the two transactions fit together before either is signed.

Who runs the exports if every employee has gone?

Usually a former IT administrator or operations lead retained for a short, paid engagement with confidentiality terms, approved as your case requires. Vendor support teams can sometimes help with account recovery. Does a chapter 7 license need court approval?

Often, but your counsel decides.
