The first ten days: securing access

Treat system access like the keys to a warehouse. Most of the work happens before or on the assignment date.

  1. Before signing, get a list of every system and its named admin from the CFO or IT lead, plus the renewal date and the card or account that pays for it.
  2. On day one, move super-admin rights for the identity provider, such as Google Workspace, Microsoft 365 or Okta, to accounts the assignee controls, with a second named admin as backup.
  3. Suspend, do not delete, departing users. In some systems, deleting a user also deletes that person's mailbox or files.
  4. Move billing for every system that holds history to a payment method the estate controls, before company cards are closed.
  5. Check retention settings so no archive is purged on a schedule while the estate decides what to do.
  6. Retain one or two former employees, typically the IT administrator and an operations lead, on short paid engagements with confidentiality terms, to run exports.
  7. File the authority trail: the assignment agreement, the board resolution and any state filings, so a future licensee can see who signs for the company.

  • Employees: were staff given notices about how workplace communications and call recordings could be used?
  • Already licensed: has any of this data been licensed for AI training before?
  • Regulated content: is the archive mainly consumer personal data or protected health information? If so, it is unlikely to fit.

How a license sits beside the asset sale

A buyer of the code or customer contracts may also want the history, so settle the split early and write it into the bid materials. Common questions

Should the assignee keep former employees on to run exports?

Usually yes, if the estate can afford a short engagement. A former IT administrator knows where the archives are, which retention settings apply and which exports are complete. Agree a fixed scope, a confidentiality undertaking and a clear end date, and make sure the assignee, not the former employee, keeps the admin credentials. Log every export they run and where it is stored.

Can records be licensed if the operating business is sold as a going concern?

Often, if the split is agreed up front. The buyer of the business may need current customer records to operate, while older email, ticket and engineering history can stay with the estate for a license. Put the division in the bid materials, disclose that AI-training rights are reserved for an agreed term, and let counsel draft the sale contract around it.

Can personal information in email and tickets be removed before delivery?

Yes, and the rules are set first.
