A one-time data license is a non-recurring item, so expect the auditor to look at it individually as an unusual transaction.

Pre-audit checklist for a non-recurring license
Work through these in order. Anything unchecked is a likely follow-up request.
Contract and authority
- Fully signed agreement filed, with all exhibits and any amendments
- Signer's authority documented (officer title, board or owner approval)
- Term, exclusivity, scope of records and price captured in a one-page summary
- Related-party check: no buyer, seller or intermediary connection to an owner or officer
Delivery and performance
- Delivery date and method recorded (platform transfer, seller-held storage or shipped drives)
- Buyer acceptance or receipt noted, if the agreement requires it
- Redaction and de-identification steps agreed in advance and signed off by the company
- Any ongoing obligations after delivery listed (support, refresh, audit rights)
Billing and cash
- Invoice number, date and amount tie to the agreement
- Cash receipt traced to the bank statement and the deposit date
- No unexplained netting, offsets or side payments
- Sales tax and income tax questions raised with the company's tax adviser
Accounting and disclosure
- Memo written on timing of recognition and whether the license is a right to use or a right to access
- Classification outside recurring revenue agreed with the auditor
- Footnote or management-discussion language drafted if the amount is material
- Board or lender reporting updated if covenants reference revenue
Why timing of recognition is the hard question
How the license is structured can affect when revenue is recognized. Under ASC 606, an entity assesses whether it gives the customer a right to access its intellectual property throughout the license period, which is satisfied over time, or a right to use it as it exists when granted, which is satisfied at a point in time. Do not pre-judge the answer for a client. A dataset delivered once under a fixed-term exclusive license may be analyzed differently from a feed refreshed over time, and the facts in the signed agreement decide it. You are well placed because you already see the general ledger, the bank feeds and the board pack. Three practical contributions:
- Open a separate revenue account or sub-ledger code so the license never blends into recurring revenue.
- Draft the accounting memo template once and reuse the structure, adapting facts for each client.
- Brief the owner on timing: the company receives a single all-in payment, typically within about 60 days of invoicing once the buyer selects the data, so cash planning should not assume an earlier date.

Common questions
Will an auditor treat a data license as recurring revenue?
Not by default. A one-time license payment is usually reported separately from recurring revenue, and the auditor will want the contract, delivery proof and a memo supporting that treatment. The facts in the signed agreement drive the conclusion, so raise it with the client's auditor before the deal closes rather than at year-end.
Does the CAS team need to see the licensed records?
No. Auditors test the contract, delivery evidence, billing and cash, not the content of the records. Your team organizes the paper trail. Partners and advisers should never export, upload or describe confidential records, and the company handles inventory and delivery directly with SourceX under its own authorization.
When should the accounting memo be written?
Draft it once the terms are agreed and before delivery, then finalize after signature. Writing it late forces the auditor to reconstruct judgments. Include the term, exclusivity, delivery mechanics, any post-delivery duties and your view on right to use versus right to access, then confirm with the auditor.
What if the company has never been audited?
The same file still helps lenders, investors and buyers diligencing the business. A first audit adds engagement letters, opening balances and wider testing, so treat the license file as one workstream inside a general readiness plan rather than a standalone project.
Is a referral fee relevant to the client's audit?
