For an owner, the practical point is that "AI training" is not one activity. It is a handful of distinct uses, and each can be named, limited or excluded in the agreement before anything is delivered.
What are the main uses of licensed business records?
Buyers' uses fall into four broad groups. The list below is a plain-language map, not a promise about any particular buyer, because the permitted use in each deal is whatever the signed license says.

The shift behind this demand is from models that answer questions to agents that carry out tasks. Public web text rarely records how an invoice dispute got settled or why a change request was refused, so buyers look for permissioned records from inside operating businesses. Researchers at Epoch AI project that public human-written text could be fully used between 2026 and 2032 if current trends continue; the paper is a forecast with wide uncertainty, but it explains why non-public data is attracting attention.
Does the buyer see our raw files?
Not in the form you hold them. De-identification and redaction requirements are agreed with the company before any work begins, and data is delivered only after an executed agreement and the company's authorization. Two clarifications help owners:
- Blending is common. Buyers usually combine data from many suppliers. A model trained partly on your records does not become "your" model; ask in the field-of-use clause how outputs may be used.

What should the agreement rule out?
Legal checklists for AI licensing deals consistently tell the licensor to pin down intended use and to restrict everything outside it. Use this list as a starting agenda with your own counsel.
- Field of use: the license names the permitted purposes, such as training and evaluating models and agents, and nothing broader.
- No resale or sublicensing: the buyer cannot pass the records, or extracts of them, to other parties.
- No re-identification: the buyer must not try to work out who people or customer companies are, and must not link the records to other datasets for that purpose.
- No contact: the buyer may not approach individuals named or implied in the records.
- Term and exclusivity: deals are typically exclusive for AI training for an agreed term; the agreement states the term and what happens at its end.
- Retention and deletion: the buyer's obligations when the term ends or the license is terminated.
- Security and breach notice: safeguards the buyer must maintain and when it must tell you about an incident.

How does ownership work while the buyer uses the data?
The company keeps ownership; the data is licensed, not sold. The buyer receives permission to use a defined dataset for defined purposes and for a defined term. Everything outside that grant stays with you, including your ability to keep running the business on the same records.
The company also receives one all-in price, with SourceX's fee included and no separate charges, as a one-time payment typically within about 60 days of invoicing once the buyer selects the data. Once a company is deal-ready, buyers typically respond within about two weeks.
What to say when an owner asks "what will they do with it?"
Partners hear this question in nearly every first conversation. Keep the answer short and let the contract carry the weight.
Do not describe the contents of the company's records, estimate what a model will learn from them, or name a buyer. Partners make introductions and give basic fit information only; they never export, upload or describe confidential records.

Common questions
Is licensed company data used to build a model that competes with us?
Licensed records are one input among many, blended with other suppliers' data, so your records do not become a product of their own. If competitive use worries you, raise it in the field-of-use clause: the agreement can limit purposes and restrict outputs or uses you object to. Counsel should review that wording before signing.
Can the buyer share our records with another AI company?
Not under typical terms. A well-drafted license bars resale and sublicensing, so the buyer cannot pass the records or extracts to other parties. Ask counsel to confirm the clause also covers affiliates, contractors and service providers, and to require that any permitted processors are bound by the same limits.
What are reinforcement learning gyms?
They are simulated work environments in which an AI agent practises tasks such as handling a support case or approving an order, and is scored on the result. Realistic records give those environments authentic sequences, exceptions and outcomes. The records are used in de-identified form under the license's field-of-use limits.
What happens to the records when the license term ends?
That depends on the agreement, which is why retention and deletion belong on your checklist. Ask what the buyer must delete, what it may keep, how it certifies deletion, and how models already trained are treated. Counsel can tell you how enforceable each position is.
Do we have to give the buyer access to our email or Slack?
