An AI data firm offered to buy my client work files. Should I sell them?

Usually no. Client deliverables, working papers and project files normally belong to the client or sit under a confidentiality clause, so a consultant, agency or freelancer generally cannot sell them to an AI data firm. The legitimate route is the client company licensing its own records through an authorized sponsor, which you can introduce.

Should you sell your client work files to an AI company?

In most cases, no. Client deliverables, working papers and project files usually belong to the client or are covered by a confidentiality clause, so an AI data firm offering to buy them is asking you to sell something you may not own. The same is true of files you took from a former employer.

The legitimate version of the same idea exists, but it runs the other way. The client company, not the consultant, licenses its own records, through an authorized sponsor, under a signed agreement with defined scope. A consultant, agency owner or freelancer can make that introduction without handing over a single file.

Why the answer is usually no

Three separate questions sit under the offer, and you need a yes on all three.

  1. Who owns the work? Under US copyright law, a work made for hire is owned by the employer or the person for whom it was prepared. See the Copyright Office circular on works made for hire and 17 U.S.C. 201. For an independent contractor, a commissioned work counts as made for hire only if it falls in one of the listed categories and a signed writing says so, as set out in 17 U.S.C. 101. Otherwise your contract decides who owns the deliverable.
  2. Who owns the content inside it? Even if you own the slide deck, the numbers, names, org charts and process details inside it came from the client.
  3. What did you promise? Most engagement letters and NDAs restrict use of client information for any purpose other than the engagement, and often require return or destruction when it ends.

Only the third row is plausibly yours to offer, and the fifth only with the client's written approval for licensing. Even then, read the agreement before answering.

The five-minute check before you reply

  • Reread your master services agreement, statement of work and NDA for ownership, confidentiality and return-or-destroy clauses.
  • Ask the sender who the end buyer is, what the files will be used for, and whether the client's name or data could be identified.
  • Check whether any file contains personal data, client financials or anything a third party gave the client.
  • Ask whether the client has been approached. A genuine offer will not object to the client being asked.
  • Hold the files until a lawyer you trust has read the buyer's paper.

If the sender discourages you from telling clients, treat that as the answer.

What to do instead: introduce the client

The company that holds the records can license them properly. If a client has 50+ full-time employees at peak (contractors excluded), several years of documented operations, rights to the data and an authorized sponsor such as the owner, CEO or CFO, it may qualify for a license through SourceX. Common questions

Can a freelancer sell their own work samples to an AI company?

Only if the freelancer owns the work and nothing in the client agreement restricts it. Many contracts assign ownership of deliverables to the client or bar reuse of client information. Even a portfolio piece the client approved for display may not be approved for licensing. Read the agreement and ask the client in writing before any sale.

Does anonymizing the files make it safe to sell them?

Not automatically. Removing names does not change who owns the document or what your confidentiality clause says, and details like pricing, org structure or process steps can still identify a client. Redaction is a technical step for the rights holder to agree with a licensee, not a way for a contractor to create rights.

What about files from a former employer?

Documents you created as an employee are generally the employer's, and employment agreements usually restrict taking or using company material after you leave. Selling them invites contract and trade-secret claims. If your former company holds valuable records, the proper route is its authorized sponsor deciding to license them.

How can a client legitimately license its own records?

The company's owner, CEO, CFO or authorized representative agrees to explore a license. SourceX qualifies the company, the company completes a data inventory, price and terms are agreed, buyers review, and data is delivered only after a signed agreement and the company's authorization.

Does a partner ever see the client's data?
