What group approvals look like in a Nordic structure

Nordic groups typically run a board-level process for contracts outside ordinary course, and a license of group records may qualify. Ask early who the sponsor reports to, whether an investment committee must approve and whether a lender or minority holder has a consent right.

If the US unit is a portfolio company of a fund, a fund advisory committee is rarely involved, but the deal team and general counsel often are. If it belongs to a listed group, the group's disclosure and information-handling policies may apply. These are the company's matters to resolve with its own counsel, not yours.

How does the introduction work?

  1. Join at /register and share your referral link, or submit the company through the referral form.
  2. SourceX qualifies the US unit on size, history, data breadth and rights, working with the sponsor.
  3. The company's team lists its systems and what can be exported.
  4. SourceX and the company settle one all-in price and the terms; nothing is binding until signature.
  5. Buyers review, and for a deal-ready company they typically respond within about two weeks.
  6. The deal closes, data is delivered under agreed redaction rules and the company receives a one-time payment, typically within about 60 days of invoicing once the buyer selects the data.
  7. Your reward follows after SourceX receives its fee.

What to say to a Nordic group CFO

Keep the note short and factual. Say what you will not do: you will not see records and you will not negotiate on the company's behalf.

Which national checks apply?

The four Nordic countries differ, and this page does not list country rules. Run these checks with your own advisers in your country.

  • Professional body or regulator. Auditors, authorized accountants and lawyers should read their rules on referral fees, independence and conflicts. Attest relationships are the usual hard stop.
  • Tax treatment. Ask a tax adviser how foreign referral income is reported in your country and whether VAT or similar applies.

The reward is paid only after the buyer pays and SourceX receives its fee; an introduction, meeting or signed agreement alone does not trigger payment, and no reward is guaranteed. When should a Nordic adviser skip an introduction?

  • The US entity is small or newly formed, with fewer records than the headcount of the whole group suggests.
  • The US business is mainly a reseller of products with records held by suppliers or customers.
  • The group has a pending sale of the US unit and no one has cleared licensing with the deal team.
  • You audit the group, or an internal rule prevents you from receiving fees.
  • The data is mainly consumer or health information.

Do Nordic advisers need a US entity to join?

No. Anyone can join from any supported country, as an individual or a firm. The form a US payer asks for depends on whether you are a foreign individual or entity. Ask your tax adviser how to register and how to report any income in your country.

Can a Nordic fund refer several US portfolio companies?

Yes. One relationship can introduce multiple eligible businesses, and each is assessed on its own merits. Screen each company against the baseline first, and keep any sale process, lender consent or fund policy in mind before you approach management.

Who at the Nordic parent should approve a license?

That depends on the group's governance. Typically the US sponsor, meaning an owner, CEO, CFO or authorized representative, plus whatever board, investment committee or lender consent the group requires. The company resolves this with its own counsel before it signs.

Is Nordic data protection law relevant to a US dataset?

It can be if the records include personal data of employees or customers in the EEA. The company's counsel assesses this, and SourceX agrees de-identification and redaction requirements before any work begins. Partners never handle the records themselves.

What if the US unit is being sold?

Coordinate with the sell-side team before raising it. A license has an exclusivity term and affects what the buyer acquires, so timing matters. Some companies license before a sale process, others after completion. The company and its advisers decide.
