How to sell a machine shop, and which of its records are yours to license
To sell a machine shop, prepare job-level financials, a machine list, certifications and a transition plan, then run a confidential process with strategic, private equity and search buyers. How do you sell a machine shop?
You sell a machine shop by showing a buyer durable earnings: diversified customers, repeatable work, documented processes and equipment that is maintained rather than worn out. A broker or M&A advisor usually runs a confidential process; the owner prepares financials, a machine list and a plan for staying on through a transition.

What drives machine shop value?
Buyers look past the equipment list to the quality of the revenue.
- Customer concentration: a shop with one customer above a third of revenue is priced for risk. Document the relationship, contract terms and history of repeat orders.
- Work mix: repeat production runs with blanket purchase orders read better than one-off prototypes. Show win rates on quotes.
- Certifications: ISO 9001, AS9100, ITAR registration or NADCAP approvals, where relevant to your customers, are slow to earn and hard to replace.
- Equipment and maintenance: list each machine by make, age, hours and maintenance log. Deferred maintenance becomes a price adjustment.
- People: programmers, setup machinists and the quality manager hold tacit knowledge. Buyers ask which of them are staying and on what terms.
- Systems: the ERP or job-costing tool, CAM software and quoting process show whether the shop runs on process or on the owner's memory.

Which records belong to the shop and which do not?

Even shop-owned records often mention customer names, part numbers or specifications. Redaction rules are agreed with the company before any work begins, and nothing is delivered without an executed agreement and the company's authorization. Defense or export-controlled work is a clear reason to stop and take advice first.
When should you start, and what happens at each stage?
Start 12-18 months ahead if you can. Shops with lumpy years or an owner who runs every quote need the most lead time.

Buyers often ask for customer calls late in the process. Choose the order carefully with your advisor, since an early call can disturb a relationship before the buyer is committed.
How does a data license interact with the sale?
The shop keeps ownership: the records are licensed, not sold, and deals are typically exclusive for AI training for an agreed term. That term is the part a purchase agreement has to accommodate, so read it before you sign either document.
To be introduced, a shop needs 50+ full-time employees at peak (contractors excluded), several years of documented operations, rights to license the records and an authorized sponsor, such as the owner or CEO. A shop below that size can still be sold well but would not meet this baseline.
If you have a pending letter of intent, tell your advisor first. An exclusive license might be seen as an encumbrance on an asset the buyer expects to receive, so the sequence and wording should be agreed with counsel.

- Most records are customer-owned files with no consent.
- Work is controlled under export or defense rules and nobody has cleared a license.

Common questions
Can a machine shop license its customers' drawings?
No, not without each customer's written consent. Drawings, models and specifications normally belong to the customer or sit under an NDA. A shop's own quote logic, routings, setup sheets and quality records are the more likely candidates, and even those need redaction of customer details.
Does a data license reduce the price a buyer will pay for my shop?
It can if it is not coordinated. An exclusive license for an agreed term may need to be disclosed and addressed in the purchase agreement. Talk to your advisor and counsel before signing either, so terms and timing fit each other.
