Collision repair private equity: which shop records can be licensed, and which cannot?
Multi-shop collision repair platforms can qualify for an AI data licensing introduction when they have 50+ full-time employees at peak, years of estimate, supplement and quality records, and clear rights. Insurer program terms, estimating-platform terms and vehicle-owner data limit scope, so operating partners screen rights first.
What do collision repair platforms hold that AI buyers might license?
A multi-shop collision operator holds years of estimates, supplements, parts decisions and repair-quality checks, which together record how damage assessments turn into finished repairs. Some of that belongs to the operator; some is controlled by insurer program agreements or estimating-platform terms; and vehicle-owner data is always out of scope.
An operating partner can screen a platform in an afternoon, then introduce it to SourceX if it has 50+ full-time employees at peak (contractors excluded), several years of records and a sponsor willing to consider a license.
Which records sit inside a collision MSO?
| System | Records | Why AI buyers value them | Rights question |
|---|---|---|---|
| Estimating platform | Initial estimates, revisions, line-item labor and parts choices | Structured before-and-after pricing decisions | Platform terms may restrict use of the estimating content and databases |
| Shop management system | Repair orders, scheduling, cycle-time stages, technician assignments | Workflow timing and bottlenecks across locations | Mostly the operator's, but contains customer fields to exclude |
| Supplement files | Supplement requests, photos' metadata, carrier responses, approvals or denials | Negotiation threads with outcomes | Insurer correspondence may carry confidentiality terms |
| OEM repair-procedure research | Position statements, procedure look-ups and notes on why a method was chosen | Reasoned decisions linking procedures to repair choices | Check subscription terms and what is operator-authored |
| Quality control | Post-repair inspections, redo and comeback logs, calibration records | Defect-and-fix chains with labels | Operator-owned, if names are stripped |
| Back office | Email, Slack or Teams, CRM, finance, HR policies | Cross-functional context | Standard employee-notice review |
The strongest candidates have all of these running across many shops, with five or more years of history and an archived system or two from earlier acquisitions.
Which rights decide what can be licensed?
Collision data is rights-layered. Work through these in order before the first call.
- Vehicle-owner and claimant data. Names, addresses, VINs tied to people, phone numbers, photos of people or plates, and claim numbers are excluded from the introduction. Many records can only be considered after de-identification agreed with the company, and consumer personal data with no licensing basis is a red flag.
- Insurer direct-repair program agreements. Read the confidentiality, data-use and audit clauses in each program agreement. Some carriers may treat their estimates, guidelines or scoring data as their own. Do not assume; ask the platform's counsel which carriers' material is in scope.
- Estimating and parts platforms. Subscription terms may govern database content and exports. The operator's own edits, notes and workflow metadata are usually the stronger candidates, but confirm.
- OEM certifications and procedures. Manufacturer procedure content is typically the manufacturer's. The operator's notes about why it chose a method are a different asset.
- Acquired shops. Records from add-ons carry the seller's contracts and may need separate confirmation that they transferred in the purchase agreement.
How do operating partners screen a collision platform?
Apply the 4R screen: Records, Rights, Reach, Readiness.
- Records: do the shops share one estimating and management stack for several years, and can someone still export estimates, supplements and QC logs?
- Rights: has counsel read the carrier program agreements and platform terms for data-use language?
- Reach: can you reach the CEO, CFO or owner, not only a regional manager?
- Readiness: would the sponsor consider a one-time payment for an exclusive AI-training license for an agreed term?
The company fit checker gives a preliminary, non-binding version of this screen with no contact details required.
When in the hold should you raise it?
| Moment | Why it fits collision platforms | Question for the CEO |
|---|---|---|
| Add-on integration | Each acquired shop brings its own estimating and management data | Where do the acquired shops' records live after migration? |
| Estimating platform change | Old estimate history may be retired | Can we keep a full export of estimates and supplements? |
| Insurer program renewal | Program terms are being read anyway | Do any program clauses touch data use? |
| Sale preparation | Buyers ask what the platform owns | Is there an asset to license before or after the sale? |
The same logic runs through other roll-ups. The operating partner hub covers portfolio-wide screening; see restoration company private equity for a parallel carrier-driven job-file model, and commercial roofing private equity for a business where building-owner data must also be carved out.
What does the operating partner do, and what does the MSO's team do?
The split is simple: you open the door with fit facts, and the platform's CEO, CFO and counsel own every decision about records.
| Stage | Operating partner | Collision platform |
|---|---|---|
| Introduction | Registers, sends the referral link or form with name, peak headcount, years operating and the estimating stack in broad terms | Sponsor agrees to a conversation |
| Qualification | Steps back | Answers SourceX questions on size, history, data breadth and rights |
| Inventory | Not involved | Lists systems and date ranges; counsel flags program-agreement and vendor-term limits |
| Terms | Not involved | Agrees price, redaction rules and scope; nothing is binding until signed |
| Close | Waits | Delivers after an executed agreement and authorization, then is paid; the partner reward follows after SourceX receives payment |
Once the company is deal-ready, buyers typically respond within about two weeks. Partners never export, upload or describe confidential records.
What to say to the CEO
The introduction email builder can draft a tailored version. If you work with equipment-driven operators, see how equipment rental private equity treats maintenance logs for a comparable structure.
How do rewards work for a sponsor?
Partners earn 25% of the eligible platform fees SourceX actually collects from the referred company's licensing deals, capped at $100,000 cumulative per referred company. The reward is paid only after the buyer pays and SourceX receives its fee; a lead, meeting or signed agreement alone does not trigger payment, and no reward is guaranteed.
The reward is a share of SourceX's fee and is never deducted from what the company receives. Before registering, check your fund documents and your firm's conflict policies on fees tied to portfolio companies, and read the rewards page and program terms.
When to skip a collision platform
- The group never reached 50+ full-time employees at peak (contractors excluded), for example a handful of small shops.
- The useful records are mostly carrier-owned or consumer-identified.
- Estimating exports are impossible or archives were deleted.
- The owner will not consider an exclusive license.
- The data has already been licensed for AI training.
Next step
Pick one platform in your portfolio or pipeline and walk it through the 4R screen. If it passes, register as a partner and make the introduction, or have the sponsor apply at sourcex.si/apply. The who qualifies page has the full baseline.
- Step 1Share your linkSend your personal link to a company you know.
- Step 2Company appliesThe company applies itself at /apply.
- Step 3Buyer selects and paysThe buyer selects and pays for the data and SourceX receives its fee.
- Step 4You get your rewardYour share of SourceX fees becomes payable.
Common questions
Are insurer estimates and supplements the shop's data?
Partly. The shop's own estimate lines, notes and workflow metadata are generally its records, but carrier correspondence, guidelines or scoring may be covered by direct-repair program terms. Have the platform's counsel read each program agreement and decide which carriers' material is in scope before any introduction.
Can vehicle photos and VINs be included?
Vehicle-owner and claimant data is excluded from the introduction. Photos, VINs tied to people and claim details raise privacy and rights issues, so any use would need de-identification agreed with the company first. Mainly consumer personal data with no licensing basis is a red flag.
Do estimating platform terms stop a license?
They can limit use of database content or exports. The operator's own edits and workflow metadata may be different from the vendor's content, but terms vary by contract. Check the subscription agreement, and ask the vendor or counsel if the language is unclear.
How many shops make a platform a fit?
There is no shop count rule. The baseline is 50+ full-time employees at peak (contractors excluded), several years of documented operations, rights to license and an authorized sponsor. A platform with consistent systems across locations and long history tends to screen well.
What does the operating partner actually do?
Screen the company against the baseline, make the introduction through the referral link or form, and share basic fit facts only. After that SourceX qualifies the company, which completes the inventory and negotiates terms. The partner stays out of the records entirely.
Is a reward guaranteed if the company licenses?
No reward is guaranteed. It is paid only after the buyer pays and SourceX receives its fee, and attribution goes to the first valid referrer whose introduction leads to a verified application. The reward is never deducted from the company's proceeds.
