# Freight audit exceptions and carrier billing disputes

Freight audit exceptions are carrier invoice lines that fail a rate or accessorial check and end in a payment, dispute or credit. Shippers and 3PLs that kept the rule, evidence and recovered amount for years hold rule-application records with measurable outcomes, a format AI labs and data users use to train and score agents.

## What are freight audit exceptions?

A freight audit exception is a carrier invoice line that fails a check against the contracted rate, the shipment record or the delivery proof, and then gets resolved by a short or full payment, a dispute or a credit. The invoice, the rule that failed, the back-and-forth with the carrier and the recovered amount together make a rule-application record with a dollar outcome.

These records sit with shippers' finance teams, with freight audit and payment desks, and with 3PLs that pay carriers on behalf of clients. For a sponsor with logistics, distribution or manufacturing companies in the portfolio, the accounts payable team may be holding years of them.

## How does an exception move from invoice to outcome?

Most audit desks follow a similar path, and each stage leaves a record.

1. **Match:** the invoice is matched to the load, bill of lading and tender.
2. **Rate check:** the billed amount is compared with the contract or tariff rate, including fuel and minimum charges.
3. **Accessorial review:** detention, liftgate, redelivery, reweigh and residential charges are checked against proof such as gate times and signed paperwork.
4. **Exception coded:** the auditor assigns a reason code and a proposed adjustment.
5. **Dispute or accept:** the carrier is contacted, evidence is exchanged, and the claim is won, split or dropped.
6. **Payment and recovery:** the approved amount is paid and any credit is booked.

## What makes these records useful for AI training?

The task is narrow, rule-heavy and checkable, which is the shape agent builders look for in evaluation material.

| Element | What the record shows | Why it matters |
|---|---|---|
| Rule applied | Contract rate, accessorial schedule, tolerance thresholds | Explicit logic an agent must follow, not guess |
| Evidence pulled | Gate logs, BOL images, tracking events, emails | Multi-source verification across tools |
| Reason code | Why the line failed | A label that makes training and scoring simple |
| Negotiation | Carrier replies, partial settlements | Messy human text around a clean rule |
| Dollar outcome | Billed, paid, recovered | A measurable result for each case |

Because every case ends in a number, buyers can score an agent against the human auditor. Compare this with [lead qualification notes](/data-types/lead-qualification-notes-data), where outcomes are fuzzier, or [insurance agency service requests](/data-types/insurance-agency-service-requests-ai), where the work is request handling more than rule checking.

## Where do the records live?

- **TMS and freight payment platform:** invoice lines, rate tables, audit flags, payment history.
- **ERP accounts payable:** vouchers, holds and credit memos.
- **Shared mailbox or ticketing:** carrier disputes and settlement offers.
- **Spreadsheets:** accessorial trackers, carrier scorecards and recovery logs.
- **Document storage:** scanned delivery receipts and rate confirmations.

A company that moved from a spreadsheet process to a platform several years ago often keeps both generations, which lengthens the history.

## What rights and confidentiality points apply?

Carrier contract rates are usually confidential commercial terms, and some agreements restrict sharing them. If a 3PL audits invoices on behalf of shipper clients, the underlying shipment data may belong to those clients, and consent is needed before it can be licensed. Treat that as a red flag until clarified.

Records the company created about its own freight spend, such as its audit notes and dispute correspondence, are cleaner. What stays in, is masked or is removed is agreed between the company and SourceX before work begins. Partners never handle the files.

## Illustrative example

Illustrative and fictional: a regional distributor receives a carrier invoice with a detention charge of several hours. The auditor pulls the gate log, sees the truck was unloaded within the free time, codes the line as "detention not supported", attaches the log and emails the carrier. The carrier credits the line two weeks later. That single thread holds the rule, the evidence, the wording of the dispute and the outcome. Multiply it by years of invoices and the dataset describes a whole audit function.

## The 3-question screen for logistics-heavy companies

Ask these in order. A no to the first two ends the conversation politely.

- [ ] Does the company pay carriers directly, or does it audit for others, and who owns the invoices?
- [ ] Has an audit or AP team recorded reasons and recoveries for several years?
- [ ] Is an owner, CEO or CFO reachable who could consider an exclusive AI-training license?

If the answers are encouraging, confirm the baseline of 50+ full-time employees at peak (contractors excluded) with the [who qualifies](/who-qualifies) page, then use the [data inventory builder](/tools/data-inventory-builder) to help the company list systems without describing the content. The wider logic of why error cases matter is in the guide on [exception handling records](/guides/exception-handling-ai-agents-data).

## What to say to a CFO or controller

> Your AP team spends hours arguing with carriers over accessorials and rate differences, and every dispute has a documented outcome. Companies with years of that history are exploring licensing it for AI work, with the redaction rules set by you. Would a short call to see if yours qualifies be useful?

## How are rewards handled?

A reward becomes payable after SourceX has paid the referred company under its signed agreement and the payout conditions in the program terms are met, including finance approval and your tax and payment details. The reward rate is 25% of Actual Supplier Payout. The cumulative cap is $100,000 per referred company. The company's price is unaffected, and no reward is guaranteed.

## When to skip

Skip shippers under the 50+ full-time employee baseline, 3PLs that cannot show client consent, and any company whose audit work is fully outsourced with no copies kept.

## Next step

If you advise or sit on the board of logistics or distribution businesses, [register as a partner](/register) and send your first introduction by referral link or form. A company can also apply on its own at [sourcex.si/apply](https://sourcex.si/apply). For sponsors, the [private equity operating partner page](/for/private-equity-operating-partners) explains how to run a screen across a portfolio.
